Inviscid Design, Inc. Minimum Advertised Price (MAP) Policy

Introduction:
Inviscid Design, Inc. is an industry leader in triathlon and cycling accessories. To protect the long-term interest of not only Inviscid Design, Inc. and its Speedfil branded products, but also all of our dealers, distributors and customers, we have unilaterally adopted a Minimum Retail Price Policy for all Speedfil products. This policy is to ensure the preservation of Speedfil products superior design and quality products, the product value and to properly establish the brand and reputation of these products in the appropriate market segment. Speedfil success is due to the strong support we have through our retailers and distributors and we are committed to developing and maintaining a strong partnership with our independent retail and distribution customers.
Advertising Policy:
Our Products may only be sold or advertised for sale on third party internet websites if Inviscid Design, Inc. grants the retailer written permission to do so. Examples of third party websites include, but are not limited to: Amazon.com, Google Shopping, Facebook and Ebay. This does not apply to Products on our closeout price lists. This also does not apply to search engines which index your own website such as Google. Text only advertisements for our products, such as Google Adwords or SMS (phone based text messages) are prohibited unless prior approval is granted by us. All photos and logos used to represent or sell our brand and products must be obtained from Inviscid Design, Inc. directly. (See contact info at end of this policy) Photos and Logos are our intellectual property and may not be modified or changed in any way (except for sizing).
Minimum Advertised Pricing “MAP” Policy:
USA Retailers will not advertise any products at a price lower than our minimum advertised price (MAP). The MAP is generally 10% less than the published MSRP. This MAP policy does not apply to non-advertised prices. Any retailer selling our products must abide by this MAP Policy. We shall determine MAP for all products, in our sole and absolute discretion. We reserve the right to set, change, modify or discontinue any product, or MAP at any time, without notice and without liability. It is the sole responsibility of the retailer to ensure that its advertised prices comply with this MAP policy. We are relying on retailer’s adherence to the MAP policy in order to permit access to our products, pictures, descriptions and our other intellectual property on our websites. Without full and complete compliance with this MAP Policy retailers may not advertise, sell or resell any products. Unless otherwise noted on MAP price list, discontinued products (or those selected by us as suitable for closeout pricing) may be advertised at any price at the discretion of retailer and or distributor however, all advertised closeout prices for our products must indicate both the closeout price and the MSRP (in close proximity to each other).
Sale Price Policy:
Retailers will be allowed two sales annually regardless of the number of models or items retailers put on sale. These two sale periods may only be for a maximum of 15 days in total. No matter how many days each separate sale period runs, the maximum number of days any item can be on sale is fifteen in each one year (365 day) period. (For example: two sales periods of seven days each; two sales periods of ten days and five days each, etc.). If fewer than 15 days are used those unused days cannot be carried over into another year. During these sales retailers may advertise Product up to a maximum of 20% less than the published MSRP (sale price). Each sale period needs to be approved, in writing, by Inviscid Design, Inc. (See contact info at end of this policy) prior to sale commencement. Sale pricing may be posted on third party internet websites as long as the authorized retailer is clearly identified as such and all other aspects of our advertising policy above still applies to all sales and or all sale priced products.
Definitions of Terms:
Advertise or Advertised price:
All published, or publicly posted/displayed prices, regardless of the manner communicated and irrespective of the format, medium or method of communication, whether it be by electronic mail, postcard, flyer, radio, television, billboard, magazine, trade journal, banners, newspaper insert, website banner or similar ad, webpage, facsimile, mailings, prerecorded telemarketing messages, or any other form.
Non-Advertised price:
Examples are: telephone or individual email responses to inquiries by an individual consumers in response to “call or email for price” ads; in store face to face discounts given to a consumer upon consumers request, (such as discounts given to local bike club team members); prices posted in retail (brick and mortar) stores but only those visible only to consumers inside the store (not visible to passersby outside the store).
Product(s):
All items specifically listed on current price lists.
Third party internet website:
A third party website includes any root domain (the name just to the left of the “.com”) not owned by your store (such as ebay.com, Amazon.com or facebook.com)
Retailer:
Any person or entity that sells Products to consumers as, or as part of, a business. This includes, but is not limited to, independent bicycle dealers (“IBD’s”), internet or internet only sellers, nationwide chain stores or specialty sporting goods stores.
MSRP:
Manufacturer’s suggested retail price
Sale price:
Any price below MSRP and or MAP.
Closeout Price:
Any price below sale prices.
Violations:
- First Violation: If a retailer is found to have violated this policy the Retailer will be notified by us via email or in writing of the violation(s).
- Second violation: If within a (1) one year period after that first warning a second violation occurs, the retailer will be notified by us via email or in writing as before and will be prevented from purchasing our products for (2) two years from the date of the second notification. Verification of the correction of the violation(s) must be provided to us within 72 hours of our sending of the notification. If there is no satisfactory response and/or correction within that time the violation will be deemed a second violation.
